1. Agreement
These Terms of Service ("Terms") govern your access to and use of the ShipKit website at shipkit.site and the ShipKit service operated by ShipKit, Inc. ("ShipKit," "we," "us," or "our"). By accessing the website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or services.
2. Eligibility
You must be at least 16 years old to use our website and services. If you are using the services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.
3. The waitlist
By joining the waitlist you provide your email address so we can notify you about access to ShipKit. Joining the waitlist does not guarantee access, a release date, or a specific price. Any statements about "first 1,000" members, early access, or founder pricing are invitations, not contractual commitments, and may be changed or withdrawn at any time.
4. The service
ShipKit is a marketing tool that connects to your social media accounts to help you generate, schedule, and publish content. When you connect an account, you grant ShipKit permission to access it on your behalf and in accordance with that platform's terms. You are solely responsible for the content you publish, ensuring you have the rights to it, and for complying with the terms of each platform and applicable law.
ShipKit never publishes content without your approval. You remain responsible for reviewing content before it goes live.
5. Subscriptions and payments
When paid plans become available, pricing and payment terms will be presented before you subscribe. Fees are charged in advance on a recurring basis unless stated otherwise, and are non-refundable except where required by law. We may change pricing with reasonable notice. You agree to pay all charges associated with your account, and you are responsible for providing accurate billing information.
6. Acceptable use
You agree not to:
- Use the services to publish unlawful, harmful, harassing, defamatory, or misleading content.
- Attempt to gain unauthorized access to the services, other users' accounts, or our systems.
- Interfere with, disrupt, or place an unreasonable load on the services.
- Scrape, resell, or redistribute the services or their output.
- Use the services in violation of any applicable law or regulation.
7. Intellectual property
ShipKit and all related software, design, trademarks, and content are owned by ShipKit or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the services for your own legitimate business purposes. You retain all rights to the content you create and publish through the service. You grant ShipKit a license to process and store your content solely to provide the services to you.
8. Disclaimers
The website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that results, including engagement or revenue outcomes, are guaranteed. Your content strategy and results are your responsibility.
9. Limitation of liability
To the maximum extent permitted by law, ShipKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to your use of the services. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Termination
You may stop using the services at any time. We may suspend or terminate your access, in whole or in part, at any time if you breach these Terms or as required by law. Sections that by their nature should survive termination — including sections 7, 8, 9, and 11 — will survive.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated to users. Continued use of the services after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising out of these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
